General Terms

These general terms and conditions apply to all offers, assignments and agreements of Digital Soulmate, established in Zevenaar, the Netherlands, and registered with the Dutch Chamber of Commerce under registration number 42141781.

Deviations from these terms and conditions are only valid if confirmed in writing by Digital Soulmate.

By entering into an agreement with Digital Soulmate, the client agrees to these terms and conditions.

Article 1. Quotes and Assignments

  1. All quotes from Digital Soulmate are non-binding and valid for 30 days unless otherwise stated.
  2. An assignment is established when the client provides online confirmation (digital signature) of the quote.
  3. Changes to the assignment may result in adjustments to pricing, scheduling, and delivery terms.

Article 2. Prices and Payment

  1. All prices are in euros and exclusive of VAT, unless otherwise indicated. Payment in other currencies is possible.
  2. Payment must be made within 30 days of the invoice date, unless otherwise agreed.
  3. In case of late payment, the client is in default, and Digital Soulmate is entitled to charge statutory interest and collection costs.

Article 3. Delivery and Execution

  1. Digital Soulmate will execute the assignment to the best of its ability and professional expertise.
  2. Delivery of the project occurs upon online confirmation by the client.
  3. Any materials to be supplied by the client must be provided in a timely manner and in the correct format.

Article 4. Changes and Cancellations

  1. Changes to the assignment by the client may result in additional costs and/or longer delivery times.
  2. If the client cancels the assignment, any hours already worked and costs incurred remain payable.

Article 5. Liability

  1. Digital Soulmate is not liable for any direct or indirect damage arising from the use of delivered websites or services.
  2. Digital Soulmate’s liability is always limited to the invoice amount of the relevant assignment.
  3. The client is responsible for the content and legality of materials provided.

Article 6. Intellectual Property

  1. All designs, texts, images, and code remain the property of Digital Soulmate until the invoice is fully paid.
  2. After full payment, the client obtains the right to use the delivered website as agreed.
  3. The client may not use the materials for purposes other than those agreed upon without the prior written consent of Digital Soulmate.

Article 7. Confidentiality

  1. Both parties are obliged to maintain the confidentiality of any information received in the context of the collaboration.

Article 8. Force Majeure

  1. Digital Soulmate is not liable for delays or failures caused by force majeure, including illness, technical failures, or circumstances beyond its control. In such cases, Digital Soulmate’s obligations shall be suspended for the duration of the force majeure event.

Article 9. Applicable Law and Disputes

The parties will first make every effort to resolve any dispute through mutual consultation. This is generally faster, more cost-effective and more practical, particularly in the case of international disputes.

Applicable Law
All agreements between Digital Soulmate and business clients are governed exclusively by Dutch law.

Disputes
Any disputes arising out of or in connection with an agreement shall be submitted exclusively to the competent courts in the Netherlands, unless the parties agree otherwise in writing.
